4. CONSULTANCY SERVICES

Information on the Website describing our consultancy services does not constitute an offer or guarantee that Harris•Aoki will provide services to every person or business that contacts us.

A professional engagement will only begin once the relevant scope of work, commercial terms, responsibilities, timelines, fees, and other applicable conditions have been agreed upon between Harris•Aoki and the client.

Depending on the engagement, services may include strategic advice, menu development, recipe development, chef training, operational support, pre-opening support, post-opening support, supplier-related recommendations, or online consultancy.

The specific services provided will depend on the individual engagement and the requirements agreed with the client.

5. NO GUARANTEE OF BUSINESS RESULTS

Harris•Aoki provides professional consultancy, recommendations, training, and operational support based on the information, circumstances, objectives, and requirements available to us at the time of the engagement.

However, business performance depends on many factors outside our control, including but not limited to:

  • Client decisions and implementation;
  • Available capital and resources;
  • Location and market conditions;
  • Staffing and employee performance;
  • Supplier availability and pricing;
  • Regulatory requirements;
  • Customer demand;
  • Competition;
  • Economic conditions;
  • Operational execution; and
  • Changes in the hospitality and food & beverage market.

Accordingly, Harris•Aoki does not guarantee any particular level of revenue, profitability, sales, customer numbers, return on investment, business growth, or other commercial outcome unless expressly agreed in a separate written contract.

6. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate, complete, and timely information reasonably required for the provision of our services.

Clients are also responsible for:

  • Making final business and operational decisions;
  • Obtaining all licences, permits, approvals, registrations, and regulatory authorizations applicable to their business;
  • Ensuring compliance with applicable laws and regulations;
  • Implementing recommendations where they choose to do so;

  • Available without interruption;
  • Free from errors;
  • Free from viruses or other harmful components;
  • Compatible with every device or browser; or
